1. Acceptance of Terms

By accessing or using OwnFlow's marketing automation platform ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Services. We may update these Terms from time to time, and your continued use constitutes acceptance of any changes.

2. Description of Services

OwnFlow provides a marketing automation platform that includes:

• Visual campaign and workflow builder
• Contact management and segmentation
• Email marketing automation
• Lead scoring and tracking
• Analytics and reporting
• Third-party integrations
• API access

We continuously improve our Services and may add, modify, or remove features. We will provide reasonable notice for significant changes that materially affect your use of the platform.

3. Account Registration

3.1 Account Creation

To use OwnFlow, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.2 Account Security

You agree to:

• Use a strong, unique password
• Enable multi-factor authentication when available
• Notify us immediately of any unauthorized access
• Not share account credentials with unauthorized parties

3.3 Account Types

OwnFlow offers different account types with varying features and user limits. Your access is governed by the plan you have subscribed to.

4. Pricing and Payment

4.1 Subscription Fees

OwnFlow operates on a subscription model with predictable pricing. Your fees are based on your selected plan and are not affected by the number of contacts in your database.

4.2 Payment Terms

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as expressly stated
• We accept major credit cards and other payment methods as indicated
• You authorize us to charge your payment method for recurring fees

4.3 Price Changes

We may adjust pricing with at least 30 days' notice. Price changes will take effect at your next renewal period. You may cancel before the new pricing takes effect.

4.4 Taxes

Fees are exclusive of taxes. You are responsible for applicable taxes, except for taxes based on OwnFlow's net income.

5. Your Data

5.1 Data Ownership

You retain all rights to data you upload to OwnFlow ("Your Data"). We do not claim ownership of Your Data and will not use it for purposes other than providing the Services.

5.2 Data License

You grant OwnFlow a limited license to process Your Data solely to provide, maintain, and improve the Services. This license terminates when you delete Your Data or close your account.

5.5 Your Responsibilities

You are responsible for:

6. Acceptable Use

You agree not to use OwnFlow to:

• Send unsolicited commercial messages (spam)
• Violate any applicable laws or regulations
• Infringe intellectual property rights of others
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to systems
• Interfere with or disrupt the Services
• Harvest data from other users without consent
• Use the Services for illegal or fraudulent purposes
• Resell or redistribute the Services without authorization
• Exceed reasonable usage limits that impact other users

We reserve the right to suspend accounts that violate these policies.

7. Intellectual Property

7.1 OwnFlow Property

The Services, including software, designs, documentation, and trademarks, are owned by OwnFlow and protected by intellectual property laws. These Terms do not grant you rights to our intellectual property except the limited right to use the Services.

7.2 Feedback

If you provide suggestions or feedback about the Services, we may use it without obligation to you. You retain no rights to such feedback once provided.

8. Third-Party Services

OwnFlow integrates with third-party services. Your use of third-party services is governed by their terms and policies. We are not responsible for third-party services and do not warrant their availability or functionality.

9. Warranties and Disclaimers

9.1 Our Warranties

OwnFlow warrants that:

• We will use commercially reasonable efforts to maintain service availability
• We will implement appropriate security measures to protect Your Data

9.2 Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OWNFLOW WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY WILL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM
• THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless OwnFlow from claims arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of applicable laws
• Your Data or content you transmit through the Services

12. Termination

12.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

12.2 Termination by OwnFlow

We may terminate or suspend your account if you:

• Violate these Terms
• Fail to pay fees when due
• Engage in conduct that harms other users or OwnFlow

12.3 Effect of Termination

Upon termination:

• Your access to the Services will end
• You may export Your Data for 30 days after termination
• We will delete Your Data after the export period unless legally required to retain it
• Provisions that should survive termination will remain in effect

13. General Provisions

13.1 Governing Law

These Terms are governed by the laws of the India, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes will be resolved through binding arbitration in Maharashtra, except that either party may seek injunctive relief in court.

13.3 Entire Agreement

These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and OwnFlow.

13.4 Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

13.5 Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

13.6 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
